Welcome to supabiz. These Terms of Service ("Terms") govern your access to and use of the supabiz website at supabiz.co and all related services, features, and applications (collectively, the "Service") operated by supabiz ("we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorised use of your account

You must be at least 18 years old to create an account and use the Service.

2. Service Description

supabiz is an AI-powered business management platform designed for service businesses. The Service includes, but is not limited to:

  • AI-powered voice and chat assistant
  • Invoicing and quoting
  • Job scheduling and calendar management
  • Client relationship management (CRM)
  • Payment processing (via Stripe)
  • Team timesheets and project tracking
  • Business analytics and reporting
  • Automated messaging and reminders

3. Subscription Plans and Billing

3.1 Plans

supabiz offers the following subscription plans:

  • SupaLaunch (Free): Limited features, up to 20 invoices per month, 10 clients.
  • SupaGrow ($29/month): Unlimited invoices, clients, full scheduling, team timesheets, analytics.
  • SupaScale ($79/month): Everything in SupaGrow plus up to 10 team members, custom workflows, white-label invoices, API access, and priority support.

3.2 Billing

Paid subscriptions are billed monthly in advance. All fees are in US Dollars (USD) unless otherwise stated. You authorise us to charge your designated payment method for all applicable fees.

3.3 Free Trial

We may offer a free trial period. At the end of the trial, your account will be converted to the selected paid plan unless you cancel before the trial period ends. No credit card is required to start a free trial.

3.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.

3.5 Price Changes

We reserve the right to change our pricing. Any price changes will be communicated to you at least 30 days in advance and will take effect at the start of your next billing cycle.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Upload or transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorised access to the Service or its related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service for any fraudulent or deceptive purpose
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Scrape, crawl, or use automated means to access the Service without our consent
  • Resell, sublicense, or redistribute the Service without our written permission

5. Your Data

5.1 Ownership

You retain all ownership rights to the data you upload, create, or store through the Service ("Your Data"). We do not claim ownership of Your Data.

5.2 Licence

By using the Service, you grant us a limited, non-exclusive licence to access, process, and store Your Data solely for the purpose of providing and improving the Service.

5.3 Data Export

You may export Your Data at any time through the Service's export features or by contacting us at info@supabiz.co.

5.4 Data Deletion

Upon account termination, we will delete Your Data within 30 days, unless we are required to retain it by law. You may request earlier deletion by contacting us.

6. Intellectual Property

The Service, including its original content, features, functionality, design, and branding (excluding Your Data), is and shall remain the exclusive property of supabiz and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

You may not use our name, logo, or branding without our prior written consent.

7. AI Assistant

The supabiz AI assistant processes your voice and text commands to perform actions on your behalf. By using the AI assistant, you acknowledge that:

  • The AI assistant may occasionally misinterpret commands or produce inaccurate results
  • You are responsible for reviewing and confirming actions taken by the AI assistant
  • Voice data is processed to execute commands and may be temporarily stored to improve accuracy
  • The AI assistant is not a substitute for professional financial, legal, or business advice

8. Payment Processing

Payment processing through the Service is provided by Stripe. By using payment features, you agree to Stripe's Terms of Service and Privacy Policy. We are not responsible for errors, delays, or issues caused by Stripe or other payment processors.

9. Third-Party Integrations

The Service may integrate with third-party services. Your use of such integrations is subject to the respective third party's terms and policies. We are not responsible for the availability, accuracy, or reliability of third-party services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee the accuracy or reliability of any information obtained through the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPABIZ AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless supabiz and its directors, officers, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

  • Your right to access and use the Service will immediately cease
  • We may delete Your Data in accordance with our data retention policies
  • Any outstanding fees will become immediately due and payable
  • Provisions that by their nature should survive termination will survive

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which supabiz is registered, without regard to conflict of law provisions.

15. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration authority.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and supabiz regarding the Service and supersede all prior agreements, representations, and understandings.
